Public Offer Agreement and Terms of Use

This document is a public contract (offer) within the meaning of Articles 633 and 641 of the Civil Code of Ukraine: SHio offers to enter into a contract on the terms set out here with anyone who applies. Paying for an order is full and unconditional acceptance of this offer under Article 642 of the Civil Code of Ukraine, and from that moment the contract is concluded. These terms apply to purchases of website templates, Shopify themes, SHio Basic and related services through SHio and to use of this website. Any purchase on this site, of any kind, and opening or signing in to an account, constitutes full agreement to the terms set out below. If you don't agree with any part of these terms, please don't complete a purchase and contact us first. Important: the legal documents in our templates (privacy policy, terms of use, accessibility statement) are adapted as closely as we can to the type of business, but SHio is not responsible for their content — you must check them and adapt them to your own business, ideally with a lawyer (see «Legal content in the template»). All content that comes with our products is sample content, and responsibility for everything published on your site or store is yours alone (see «Sample content in every product — and responsibility for your site»).
1. Definitions
"SHio", "we" or "us" — the operator of this website and seller of the templates and services described on it. "Template" — a ready-built, tested website (design, code, admin panel and sample content) offered for sale on this website; the buyer gets a working site in their own Netlify account and a licence to use it, not the source code. "Customer", "you" or "buyer" — anyone who makes a purchase on this website, whether as an individual or on behalf of a business. "The website" — this website (shio.co.il) and its content, including the templates offered on it. "SHio Basic" — a service in which a website is generated automatically by AI from a form the buyer fills in and, once the buyer accepts it, is moved to the buyer's own hosting account. "Account" — a user's personal area on the website (shio.co.il/account), which shows their orders and sites. "Shopify theme" — a ZIP file of a theme for a store on the Shopify platform, which the buyer installs in their own store. "SHio Alive" — an AI sales agent in a chat on the buyer's site. "Third-party company" — any company other than SHio with which the buyer enters into their own agreement to run the product, including the hosting company (Netlify), the domain registrar, Shopify, the buyer's payment company, and email, analytics and advertising services. These terms apply to every product and service sold on the website.
2. Capacity to contract
Use of this website and purchase of a template or service is permitted for individuals 18 or older, or for a company/business making the purchase through an authorized representative. By completing a purchase you represent and confirm that you have the legal capacity to enter into a binding agreement — whether as an individual or on behalf of a business you're authorized to bind.
3. Your account
(1) You can open an account on the website free of charge. It is not a condition for buying. (2) Opening an account or signing in to it — with a code sent to your email or with a Google account — constitutes agreement to these terms and to the privacy policy, as worded at that time. We keep the time of your agreement and the edition you accepted. (3) Accounts are for people aged 18 and over. You must give a correct email address that you control; you may not open an account in someone else's name or with an email address that isn't yours. (4) There is no password: access to your mailbox or Google account is the key to your account. You are responsible for keeping them, and the device you signed in from, secure, and for signing out on a shared device. Anything done after a valid sign-in is treated as done by you, unless you told us beforehand about unauthorised access. Suspect such access? Write to support@shio.co.il at once. (5) The account shows the orders and sites bought with the same email address, for your convenience. The documents that govern each purchase are the receipt and order confirmation sent by email. (6) You may not try to get into someone else's account, get round the sign-in and rate-limit mechanisms, run automated tools against the sign-in pages or send codes to other people's addresses. In case of abuse, suspected fraud or a breach of these terms we may limit, suspend or close an account. Purchases, receipts and licences already granted are not affected, and you can get them through support@shio.co.il. (7) We may change the account, add or remove features, or stop it, with reasonable notice where possible. It is provided as is, and we don't promise uninterrupted availability; even when it's unavailable, the receipt and order confirmation in your email stay with you. (8) You can delete your account at any time, from inside it or by asking us. Deleting it does not cancel a purchase, does not entitle you to a refund and does not affect the licence you received. (9) Emails that are part of the service — sign-in codes, receipts, order confirmations and notices about your order — are not marketing and are sent even without signing up for news. Marketing email is sent only to people who explicitly asked for it, as set out in the privacy policy.
4. Purchase process, prices and payment methods
Prices for templates, Shopify themes, SHio Basic and related services are shown on the site in hryvnias (UAH) and are final prices: nothing is added on top (see «VAT and taxes»). Payment is made in advance, in the cart on the site: the «Proceed to payment» button opens the secure payment page of monobank (JSC Universal Bank). Payment methods: a Visa or Mastercard bank card, as well as Apple Pay and Google Pay, on the secure page of the payment service. Cards issued in any country except russia and belarus are accepted; a foreign card is charged in hryvnias with currency conversion. On request, you can also pay by bank transfer to the seller's account, using the details we email you. Payment is in hryvnias. We do not collect or store payment card details. The license to use the template, and the purchase itself, take effect once payment is confirmed.
5. Delivery time
Templates: after payment is confirmed there is no form to fill in and nothing to tell us about your business. By email you get a "Connect Netlify" button: sign in or sign up to Netlify for free and press "Authorize". We then create the site, with its database and admin panel, directly in your own Netlify account — within one business day of payment, usually within minutes — and email you the site's address and the admin-panel password. The time until you connect Netlify is not counted. The template's source code is not handed over to the buyer, neither as a file nor as a repository. If you gave us a domain, we connect it when we create the site, at no extra charge; without one, the site runs on a Netlify address and you can connect your own domain yourself, in your Netlify account, at any point. Our access to your Netlify account is only as set out in «Free support for 14 days and access to your Netlify account». Hosting: the site is hosted in your own Netlify account under Netlify's terms and prices, and the hosting is between you and Netlify. Netlify's free plan allows a business site but has a monthly allowance; exceeding it may lead Netlify to pause the account's sites until the next month, and Netlify may change or discontinue the free plan at its own discretion. SHio is not responsible for the availability of the hosting, for a pause, or for Netlify's charges. Shopify themes: once payment is confirmed, you get an order confirmation email with a personal link to download the theme file (ZIP); the link is valid for 30 days; you can download the theme again any time from My account on our site (sign in with the same email) or ask us for a new link. You install the theme yourself in your Shopify store, and your Shopify plan is paid to Shopify directly. SHio Basic: a preview of the site is built free of charge, before any payment; after payment (you confirm the site with a consent box before paying) you connect Netlify with one button from the email, and we create the site in your account. The deadlines, and your right to cancel and get a full refund if we miss them, are set out in the SHio Basic Terms of Purchase (sections 5–6), shown in the order form before payment. "Business days" means Monday to Friday, excluding weekends and public holidays. Not counted: time we spend waiting for missing details or corrections from you, and time during which a third-party service outside our reasonable control is unavailable. If we miss the deadline for a reason attributable to us, you may cancel and receive a full refund by writing to support@shio.co.il.
6. SHio Basic
Purchases of SHio Basic are governed, in addition to these terms, by the dedicated SHio Basic Terms of Purchase, published at shio.co.il/legal/basic and linked from the order form before payment; where they conflict, those prevail. In short: SHio Basic is in early access (beta) — we fix faults on our side free of charge, and if we haven't fixed one within 7 days, you get your money back; 2,990 UAH, a one-time payment, no subscription; a site with AI-written copy and images from a shared library (no exclusivity); an admin panel, contact form, online booking and the other parts listed in the Terms of Purchase; you review and accept the content before it is published and are responsible for its accuracy; the site moves to your own Netlify account, under Netlify's terms, allowances and prices; the site's source code is not handed over; no mandatory support; we don't create sites for prohibited content (see «Prohibited content and uses»), and after transfer the content is your responsibility. The license and enforcement sections below, written for templates, do not apply to SHio Basic except as its Terms of Purchase provide.
7. Sample content in every product — and responsibility for your site
(a) Every SHio product — website templates, SHio Basic, Shopify themes and any product added in the future — comes with sample content: texts, headings, images, product and service names and prices, business and contact details, testimonials, FAQs, legal documents (privacy policy, terms of use, cancellation and refund policy, accessibility statement) and accessibility features. In SHio Basic, the texts written from your form are also a draft for you to check. Sample content is for illustration only and is not adapted to your business, its activity or the law that applies to it. (b) Your site or store is published in your name. From the handover you are its publisher and solely responsible for everything on it, whether or not you have replaced the sample content: for the accuracy of details, prices and claims; for the rights in images and content; for the legal documents; and for the site's or store's and your business's compliance with every law, including consumer protection, privacy, accessibility, advertising and regulated-profession rules. (c) SHio is not the publisher of your site or store and is not a party to the relationship between you and your visitors, customers or the authorities. SHio is not responsible for any claim, lawsuit, fine, damage or expense arising from content published on your site or store, including sample content that was not replaced, and you will indemnify it for them as set out in «Indemnification». (d) Before your site or store goes live, and whenever your activity changes, you must replace the sample content with your business's real content and have the legal documents and accessibility checked by your own lawyer and certified accessibility professional. On sites with a SHio admin panel you are asked to confirm this in the admin; until you do, the legal documents end with a note that they are sample wording, and we keep your confirmation with its date. (e) Sample images: the images that come with the templates and with SHio Basic were created with artificial intelligence. You may keep them and use them on the site you bought only, without exclusivity: the same image may also appear on other sites. Do not present them as real photographs of your business, products, team or customers if they are not. SHio does not undertake that the images are unique or unlike other images. Shopify themes are delivered without images. (f) Content you upload: you obtain yourself the rights and consents needed for everything you upload to your site or store — images, texts, marks, pictures of people and personal data — and you are responsible for them. (g) Nothing in this section relieves SHio of liability that the law does not allow to be excluded, including for faults in our own code and work, as set out in «When you get a refund» and «Limitation of liability».
8. Prohibited content and uses
SHio does not create, adapt, sell or maintain sites for prohibited content or activity. This applies to all our products and services: templates, Shopify themes, SHio Basic and additional services. Prohibited content includes, among other things: any sexual content involving minors, in any form; pornography, erotic content, escort and sexual services, and prostitution; non-consensual sexual content; gambling; weapons, ammunition and explosives; drugs; physical or emotional threats against a person or group, intimidation, harassment, blackmail, revenge and incitement to violence; terrorism and extremism; discrimination or hate based on race, nationality, religion, gender, sexual orientation, disability or age; fraud, pyramid schemes and forged documents; hacking accounts and tracking a person without their knowledge; trafficking in people or organs; piracy; impersonating a government body, a bank, a brand or a person; and any other content or activity that is unlawful in Ukraine. Some sensitive areas (for example crypto, loans, tobacco and vapes, cannabis, dating) are reviewed manually, and we may refuse them. We may refuse an order or stop work at any stage if in our view it involves such content; a refusal before delivery entitles you to a full refund. The license to use a template or theme does not permit using it for prohibited content or activity: such use is a material breach of these terms, and we may terminate the license by notice and report it to the hosting provider and the competent authorities. After delivery we do not monitor the site, and the customer alone is responsible for all content published on it and for its compliance with the law.
9. VAT and taxes
The prices shown on the site are the full, final amount you pay: they already include any tax that applies to the purchase, and nothing is added on top. The seller is an individual entrepreneur (FOP) who is not registered as a VAT payer, so it does not charge VAT and does not issue a VAT invoice. This does not exempt you, as the buyer, from any tax obligations of your own that may apply (for example, self-accounting for VAT in your own country, or your entitlement to a tax credit) — these depend on your own status and jurisdiction. Before relying on the tax treatment of this purchase, we recommend consulting your own accountant. SHio is not liable for your tax obligations and does not provide tax advice.
10. Template license — a license to use, not ownership of the IP
Purchasing a template grants the buyer a license to use it only — not ownership, not intellectual property, and no copyright in the template's design or code. The license covers running a single site, for a single business, on that template, for business or personal use ("Regular License"). Strictly prohibited, directly or indirectly, by you or through anyone else: reselling, redistributing, renting, lending, copying, translating, reverse-engineering to create a competing or derivative product for sale, publishing or presenting as your own template or as a template available for sale, giving a third party access to the code repository beyond what's needed to run your own site, or otherwise granting a third party access to the template's design or code — as a standalone product, as part of another product or service, for payment or for free — even if the code was modified, incorporated into a larger project, or transferred at no charge. Also strictly prohibited: removing, altering, disabling or circumventing any marking, identifier, digital license or technical measure built into the template to verify authorized use. All copyright and intellectual property in the template, across all its versions and updates, belongs and will remain the exclusive property of SHio at all times. Using the same template for an additional site, an additional client or an additional business requires a separate license purchase for each such use. The license does not include rights to stock photo libraries, fonts or third-party components not owned by SHio, which are supplied under their own licenses. Breach of this section also constitutes copyright infringement within the meaning of the Law of Ukraine “On Copyright and Related Rights”, entitling SHio, among other things, to claim damages or, instead of damages, compensation in the amount set by law.
11. No exclusivity — the same template is sold to other customers, including competitors, without any vetting
The template you purchase is an off-the-shelf, mass-produced product, not a design created exclusively for you or reserved to your business, industry or geographic area. Purchases on this site are processed automatically, and SHio does not review, screen or vet who buys a given template — including whether a buyer competes with any other buyer. SHio may sell the same template, in the same or a different color scheme, to any number of other customers, before or after your purchase, including businesses that compete directly with you in the same city, region or field, and bears no responsibility for that. Purchasing a template does not grant any exclusivity, priority, right of first refusal, or restriction on SHio's ability to sell the same or a similar template to anyone else, and does not entitle you to demand that another customer's site be taken down, altered or restricted because it uses the same or a similar template.
12. License enforcement & remedies for unauthorized use
Without derogating from the section «Template license — a license to use, not ownership of the IP»: (a) A breach of the license terms entitles SHio to terminate the license immediately, by written notice, without derogating from any other remedy available to it. (b) SHio may embed identification, marking or digital verification measures in its templates to confirm authorized use only; tampering with, removing or disabling these measures is itself a material breach of these terms. (c) Without derogating from SHio's right to claim compensation for its actual damage, or at any time to elect instead the compensation provided by the Law of Ukraine “On Copyright and Related Rights”, as described in the section «Template license — a license to use, not ownership of the IP», the parties agree that for each breach of the prohibition on sale, distribution or transfer to a third party, the buyer will pay SHio, as a penalty (liquidated damages) under Articles 549–552 of the Civil Code of Ukraine, an amount equal to the template's then-current public list price on the site, multiplied by the number of unauthorized copies, installations or sites identified — without derogating from SHio's right to instead claim compensation for its actual damage, to the extent higher. (d) The parties agree that a breach of the prohibition on sale or distribution may cause SHio irreparable harm not adequately compensable in money alone, and SHio is therefore entitled to apply to a competent court for temporary and permanent injunctive relief, in addition to any other remedy. (e) The buyer undertakes to notify SHio without delay if it becomes aware of unauthorized use of the template, by itself or by others.
13. Ownership of code and content
Once transferred, the site sits in your own accounts and under your control, and you may use it for the purchased site only, subject to the license terms above. The template's source code is not handed over to the buyer. Any content you upload or create on the site you build from the template — text, images, branding — is fully yours. Ownership of the template's own design and code as an off-the-shelf product, including the right to sell it to further customers, remains at all times the exclusive property of SHio.
14. Additional services
SHio does not sell separate paid services — branding, individual setup or changes to your site: you make all of these yourself in the admin panel, with no code. Every purchase includes the free technical support described in «Free support for 14 days and access to your Netlify account»; there are no payments beyond the price of the product.
15. Free trial of an AI sales agent (SHio Alive)
Sites we deliver — SHio Basic and some templates — come with a free trial of SHio Alive, an AI sales agent on the site: 3 days from the first conversation or 20 conversations, whichever comes first. When the trial ends, the agent disappears from the site by herself; nothing is charged automatically and there is nothing to cancel. You can switch her off at any time: on sites whose admin panel has a switch for her (SHio Basic and newer templates, on the «Settings» page) — yourself; on other sites — write to support@shio.co.il and we switch her off within one business day. Keeping the agent after the trial is a separate purchase of SHio Alive. During the trial the conversations run through SHio's account with the conversation provider, and leads that visitors leave are e-mailed to the address you gave in the order. The trial is provided as is ("AS IS"), is not part of the site or template you bought, and SHio may change or end it. Buying after the trial: the trial is there so you can see the agent working on your own site before you pay. When you buy SHio Alive after the trial, you confirm with a separate box in the cart that you have tried her and seen how she works; so the way she talks and her sales style, as you saw them during the trial, are not a fault. We keep the trial records (start and end dates and the number of conversations) and the order confirmation sent to you, and may rely on them in a payment dispute. Still not right for you? Within 14 days of payment we refund you, no questions asked (see «When you get a refund»).
16. Buying SHio Alive (early access, beta)
(1) What is on sale today: only SHio Alive chat — 6,990 UAH, a one-time payment. The «Face & video» and «Live avatar» levels are still in development: they cannot be bought or ordered, and no payment is taken for them. When they are ready, we will update the site and these terms. (2) What you get: an AI sales agent in a written chat on your site. She learns the information on your site and the facts you give on her settings page, and runs on SHio's servers. On a site we delivered she is already installed; on any other site you add one line of code, following instructions sent by e-mail. (3) Your own ElevenLabs account: conversations run through an ElevenLabs account that you open and pay for directly (currently from $6 a month; the free plan is not for business use). Until you connect it, the agent does not appear on your site. ElevenLabs sets its own prices and terms, and SHio is not responsible for them. These payments do not reach SHio and are not refunded by SHio, including when you get a refund for SHio Alive. (4) Delivery: if you keep the agent after a trial, you get a link to her settings page by e-mail as soon as the payment is confirmed, and she returns to your site the moment you connect ElevenLabs. Any other site: you fill in the questionnaire on our site and pay right away in the cart; once the payment is confirmed, we read your site and e-mail you the settings page and the installation instructions — usually within minutes, and no later than one business day. (5) You pay SHio once, with no subscription. The service is provided as is ("AS IS"). The agent answers from the information on your site and in her settings, and can make mistakes; you are responsible for what is offered to customers on your site. Refunds — see «When you get a refund». (6) Early access (beta): SHio Alive is currently in early access. The service works and is sold under these terms, but we are still developing it — the way she talks, her features and settings — so some parts may not run as smoothly as we would like. The «beta» label does not reduce your rights: everything described in point (2) must work as described, and the 14-day refund and all your other rights by law apply in full. If you notice a fault, write to support@shio.co.il: faults on our side are fixed free of charge, and if we have not fixed one within 7 days, you get your money back (see «When you get a refund», case (2)). Improvements we make reach the agent on your site automatically, because she runs on SHio's servers; if a change makes something stop working as described, that is a fault on our side.
17. Free support for 14 days and access to your Netlify account
(a) Every template purchase and every SHio Basic order includes 14 days of free technical support, from the day the site is delivered to your Netlify account. It covers: faults that stop the site or its admin panel from working as described (for example, the site doesn't open, a form isn't sent, photos don't load); rebuilding and re-publishing the site; fixing its settings and its connection to the database and file storage; connecting your own domain to the site, at your request; and answers to your questions. You buy and renew the domain yourself, in your name and at your cost, from a company of your choice, and you enter the records there following the instructions we send. We do not sell, register or renew domains, and are not responsible for the domain, its registration or renewal, or the company that sold it. Support is in writing only, at support@shio.co.il. We reply within 24 hours, and start on a site that is down as soon as we can. Not included: changes to content or design, new features, and faults caused by a change made by you or on your behalf, by Netlify or another provider, or by going over Netlify's allowance — we may still help with these at our discretion. We answer questions about how to use the site and its admin panel in writing, free of charge, for one month from the date of purchase (that is, also after the 14 days end); repairs are not part of this. When these periods end, support ends (see «A one-time purchase: no subscription and no ongoing maintenance»). Answers may be prepared by an AI-based system under our supervision. (b) When the site is delivered by connecting your Netlify account to the SHio app ("Authorize"), and you tick the consent box (on the connection page or, for SHio Basic, next to the Buy button), we keep that access until the end of the support period, so that we can fix the site ourselves and quickly. Netlify gives an app access to the whole account, not to a single site. We will use the access only for the site we delivered to you and only for the work in subsection (a): checking the site's status and error logs, rebuilding and re-publishing it, fixing its settings, and connecting your domain to the site at your request. We will not delete the site or the account; change your Netlify plan, billing or members; create other sites; or view, copy or pass on your customers' data beyond what is strictly needed to fix the fault in front of us. We record every action we take in the account, and will send you the record on request. (c) The access key is stored encrypted on our servers and is not written to logs. It is deleted automatically at the end of the 14 days, and we email you when that happens. You can revoke it earlier, at any time, in Netlify: User settings → Applications → SHio → Revoke. From then on, support continues as written guidance only. (d) If you do not tick the consent box, delivery is exactly the same, and we delete the access as soon as the site is delivered; support is then written guidance only, with no access to your account. In that case we cannot fix the site ourselves, and — to the extent permitted by law — we are not responsible for a fault, error or problem in the site that we could not fix for lack of access, for the site being down or not working properly until it is fixed, for any loss caused by that, or for the way our written guidance is carried out. If you later want us to fix something, you can give access by connecting Netlify again; the time we have to fix it counts from then. (e) Support comes with the purchase at no extra charge and is not a guarantee that the site will be available; the «Limitation of liability» section applies to it. Nothing in this section limits a right you have by law.
18. A one-time purchase: no subscription and no ongoing maintenance
(a) Templates and SHio Basic are sold once, for a one-time payment. This is not a subscription: SHio does not charge you any recurring fees. Netlify hosting and your domain are between you and those companies, under their terms and prices. (b) What you buy is a working site, with an admin panel, in your own Netlify account. The site's source code (of the template or of SHio Basic) is not handed over to you and remains SHio's property; you get a licence to use the site as set out in these terms. (c) The purchase includes only 14 days of free technical support and one month of free answers to questions about using the site (section «Free support for 14 days and access to your Netlify account»). When those periods end, support ends: SHio does not maintain, update, back up or monitor the site, and does not answer questions about it. The site keeps working in your account, and from then on it is in your hands. (d) We are under no obligation to release new versions, features or fixes for a purchased site after the support period ends.
19. Receipt
The receipt for your payment and an order confirmation are emailed to you. The receipt is not a VAT invoice: the seller is not a VAT payer and does not charge VAT (see «VAT and taxes»). It's your responsibility to make sure the details you enter at checkout are accurate and current.
20. Cancellations & refunds
Before delivery — a full refund. You can cancel any order and get all your money back as long as the product has not been delivered to you: for a website template and SHio Basic — until we start creating the site in your Netlify account; for a Shopify theme — until the download link is emailed to you; for SHio Alive — within 14 days of payment, no reason needed (see the next section). Write to us at support@shio.co.il and we refund you to the payment method you used, no later than 7 days after your request. After delivery. Our products are digital: a site created in your account or a file sent to you cannot be "returned". So, under paragraph 1 of part five of Article 13 of the Law of Ukraine “On Consumer Rights Protection”, the right to withdraw from a distance contract does not apply once digital content has been supplied to you by electronic means, with your consent, before the 14-day period has ended — including a website template, source code or admin-panel access. You give that consent when you place the order. After delivery we refund in the cases set out in the next section — for example, when something does not work because of a fault on our side and we have not fixed it within 7 days, or when we missed the delivery time. A SHio Basic purchase is also governed by its own Terms of Purchase, shown in the order form before payment. Any change you make to the site after delivery, content you publish on it, the way you use it, or any step a hosting provider, authority or third party takes because of these, is your responsibility and gives no right to cancellation or a refund. Nothing in this section limits a right the law gives you that cannot be contracted out of, including the right to cancel and be refunded where we did not deliver what we undertook to deliver. In any cancellation or refund, for any product and for any reason, the amount paid to SHio is what is refunded. We charge you no fee for paying on the SHio site, so the amount you paid us is refunded in full (only your own bank's currency-conversion fee, if any, is not returned by the bank). Amounts you paid to third-party companies — hosting (Netlify), the domain, Shopify, the payment company you connect to your own site or any other provider, in any amount — are not refunded by SHio, even when you are owed a full refund from us; cancelling those services and any refund for them are between you and them, on their terms (see «Third-party companies and services»).
21. When you get a refund
You will receive a full refund, on request, in any of these cases: (1) we missed the delivery time for a reason attributable to us (see «Delivery time»); (2) the site or template delivered to you does not work as described on its product page because of a fault on our side, and the fault was not fixed within 7 days of your report; (3) you were charged twice for the same order, or charged without placing an order. (4) SHio Alive: within 14 days of payment, no reason needed — with «Get my money back» in the order e-mail or by writing to us; the agent is then removed from your site. Only the amount paid to SHio (6,990 UAH) is refunded. Payments you made to ElevenLabs or any other third-party provider — in any amount, including its subscription fee (currently from $6 a month) — are not received by SHio and are not refunded by SHio: they are made under your separate agreement with that company, on its own terms, to which SHio is not a party. To cancel that subscription or ask for a refund on it, contact that company directly. Send a refund request in writing to support@shio.co.il or via the Contact page: in case (4), within 14 days of payment; in cases (1)–(3), at any time once the right to a refund has arisen. We reply within 24 hours, and refund to the payment method you used no later than 7 days after your request; when it appears on your statement depends on your card issuer. Card refunds and transaction cancellations are made through the bank that accepted the payment (monobank, JSC Universal Bank), to the same card you paid with, with no deductions on our side.
22. Limitation of liability
The template, the services and their contents are provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. To the extent permitted by law, SHio's total liability to you in connection with any template or service will not exceed, under any circumstances, the amount actually paid for that product or service. SHio is not liable for any indirect, consequential, special or punitive damages, including lost profits, lost data, lost customers or business interruption, even if advised of the possibility of such damages, and including on sites operated and maintained independently by the purchaser after transfer. These limits do not apply to damage caused willfully or by gross negligence, and do not limit any right the law does not allow to be excluded.
23. Third-party companies and services
(a) What this covers: SHio's products run on services of other companies with which you enter into your own agreement — for example hosting (Netlify), your domain registrar, the Shopify platform, ElevenLabs (for SHio Alive), the payment company you connect to your site, and email, analytics and advertising services (such as Google and Meta). From SHio you buy a product — a site, a template, a theme or an AI sales agent — and you connect and use it from then on under your own terms and agreements with those companies. (b) A separate agreement: these companies are not owned or controlled by SHio. SHio is not a party to your agreements with them, does not represent them and does not act on their behalf. They set their own prices, terms, features and rules, and may change them at any time. You pay them directly; SHio does not receive those payments and does not refund them. (c) No liability on SHio: SHio is not liable for the acts or omissions of these companies or for any consequence of them, to you or to your customers, including: outages, faults and errors in their service; the discontinuation of the service or any part of it, or the company closing or leaving the market; changes to prices, plans, usage limits, features or terms; the blocking, suspension or closure of your account; the loss of data, messages, orders or payments; problems with charging payments, refunds and payment disputes; and data leaks or security breaches on their side. Claims about these matters must be made directly to the company concerned. (d) Not a fault in our product: if a third-party service stops working, changes or disconnects you, and as a result part of your site or product stops working, this is not a fault on our side and does not in itself give a right to cancel, to a refund or to compensation from SHio. At our discretion we may help you move to another service or update the connection, but we are not obliged to. (e) What remains our responsibility: this section does not release SHio from liability for errors in our own code and work — those are governed by «When you get a refund» and «Limitation of liability» — and does not limit any right the law does not allow to be excluded by contract. Outages at providers that SHio itself uses to run its products (for example the servers and AI models on which SHio Alive runs) are governed by «Force majeure».
24. Accessibility
Every template includes built-in basic accessibility features — an accessibility adjustments menu, contrast controls, text sizing and more. That said, full compliance with the accessibility requirements that apply to your business (for example, the DSTU EN 301 549:2022 standard) also depends on your content, images and how you specifically use the site. It's your responsibility to have a certified accessibility consultant confirm the site meets the requirements relevant to your business, especially if you're legally required to provide full accessibility. SHio is not responsible for the accessibility compliance of the site you bought. Appointing an accessibility coordinator, having it checked by a certified accessibility professional and keeping the accessibility statement up to date are your responsibility.
25. Legal content in the template
Every template includes legal documents — a privacy policy, terms of use and an accessibility statement — that we prepared as closely as we can to Ukrainian law and to the type of business the template is made for, plus a place in the admin to fill in your own business details (registered name, company number, licence, address and accessibility coordinator). Even so, these documents are only a starting point and are not legal advice: they do not know your exact activity, and the law changes. SHio is not a law firm and takes no responsibility for their content or their suitability for your business. It is your responsibility to check the texts, adapt them to your business and confirm with your own lawyer that they comply with the law that applies to you — before the site goes live and whenever your activity changes. The documents are published on your site in your name, as your business's own: you are solely responsible for their content, accuracy and compliance with the law, and SHio is not a party to them towards your visitors, customers or the authorities. The site's admin asks you to confirm this; until you do, each document ends with a note that it is the template's wording, and we keep your confirmation with its date. Even without a confirmation, publishing the site with these documents means you accept responsibility for their content.
26. Copyright complaints
If you believe content on this website infringes copyright or intellectual property you own, please contact us in writing via the Contact page, with specific details of the infringing content and evidence of your ownership. Every such report will be reviewed and handled accordingly.
27. Intellectual property on this website
All rights to the design, code and content of this website (shio.co.il) belong to SHio. This website's own content may not be copied, reproduced, scraped or reused without prior written permission — entirely separate from the license terms governing the templates sold through it.
28. Indemnification
You agree to indemnify SHio for any claim, damage, liability or reasonable expense (including reasonable legal fees) arising from your unlawful or unauthorized use of the template or site, your breach of these terms, content you uploaded to the site, the legal documents published on it (privacy policy, terms of use and accessibility statement), or your site's or business's failure to comply with the law, including accessibility and privacy requirements — provided we notified you of the claim promptly and allowed you to defend against it.
29. Force majeure
SHio is not liable for delay or failure to perform arising from circumstances beyond its reasonable control, including third-party infrastructure outages, natural disasters, pandemics, war, hostilities, or broader economic disruption.
30. Assignment
You may not assign or transfer your rights and obligations under these terms to a third party without our prior written consent. SHio may assign its rights and obligations, in whole or in part, in connection with a sale, merger, acquisition or restructuring of the business, without requiring your consent.
31. Privacy
Collection and use of personal information in connection with use of this website is governed by a separate Privacy Policy, available on the «Privacy Policy» page, which forms an integral part of these terms.
32. Severability & entire agreement
If a competent court determines that any provision of these terms is invalid, void or unenforceable, that will not affect the validity of the remaining provisions, which will remain in full force. These terms, together with the Privacy Policy, constitute the entire agreement between you and SHio regarding the matters they address, and supersede any prior agreement, representation or understanding, oral or written.
33. Governing law & jurisdiction
For buyers from Ukraine, these terms are governed by the laws of Ukraine, including the Law of Ukraine “On Consumer Rights Protection”. We try to settle any dispute by negotiation; if we cannot agree, the dispute is heard by a competent court of Ukraine under the jurisdiction rules set by law, and as a consumer you may bring a claim in the court of your place of residence. For buyers from Ukraine, the Ukrainian version of these terms is the official one, and if the language versions conflict, the Ukrainian version prevails for them. Purchases from other countries (except russia and belarus, where we do not sell) are also governed by the laws of Ukraine, and disputes are heard by a court of Ukraine; this does not take away any consumer right that the law of the buyer's country of residence does not allow to be excluded by contract.
34. Changes to these terms
We may update these terms from time to time. The current version is always published on this page, with the last-updated date noted above. Each purchase is governed by the version published at the time of payment, and a later change does not apply to it.
